JT. Your analysis is pretty much on the mark. But the conclusion that you're insinuating isn't.
I agree with you, Dan has been one of the owners of a majority of the acquisitions to date. As a result he, and some of the other members of the management team have been receiving restricted shares of PRRM. Dan and co. took over PRRM with a business plan in place and this, IMO, is what it boils down to.
Dan initially gained control of a number of private entities. A number of local access channels, High Angle Media. We don't know at this point what type of assets and how much revenue each entity is producing (although now we do know that High Angle Media has the technical knowledge and expertise to produce a feature length animated movie for Miramax, so how shabby can it be?). Anyway, once he is in control of these separate units, where does he go from there? One thing he does need is capital. How does he go about leveraging the assets of these individual units he now controls? The answer is PRRM.
He gains control of what is essentially a shell. Not just a shell, but a shell that is essentially worthless. The first thing that he does is change the share structure, he increases the A/S. He then proceeds to complete the easy part, acquire the private units which he currently controls. He does this with shares that are grossly inadequate to actually represent the true value of the companies which they acquire. But the restricted shares go to Dan and Co.
Now he appears to be in the process of completing the first part of his initial plan, acquiring entities from individuals other than himself and co. Why would somebody be willing to sell Dan his right to distribute Stockli skis in the USA in exchange for a virtually worthless stock?
The answer, because Dan has explained his strategy to him/her/them, and they have bought in. What is this strategy?
Dan is currently in the process of acquiring a series of companies which fall under the general theme of winter sports and entertainment. He is using, again, a vehicle which cannot possibly be worth less than it is now, without being worth zero. Some have said he is using .00005 stock to do this - this may very well be so.
The fact of the matter is, it is very difficult to move the price on a stock worth .0001. QBID is a great example of this - it languished at .0001 for a long time before the big news came out - "they were starting the nations first gay tv satellite channel. News of a sub-penny doing business with Miramax would normally move any stock, but not one with a very high O/S and no public financials.
The point is, Dan doesn't want the PPS to move right now. He needs to finish acquiring first. In my mind, his strategy is fairly obvious. He intends to acquire X number of entities using PRRM shares. When, and only when he completes these acquisitions he will release the combined financial. When this happens the market is going to be able to put a dollar value to this group of companies under the PRRM umbrella. What they will see is High Angle Media, a company which currently has a number of contracts with very high profile companies, a number of television stations in quickly growing resort communities, the rights to distribute a quality Swiss ski in the US, (probably a large retail ski outlet in a large ski resort to retail those skis in), and whatever other acquisitions he intends to complete.
Now, the financials are out. What happens? Remember, there is a lot of O/S here, this is true, however, this stock cannot sell for any less than it is now. The Market looks at the numbers, the MMs look at the numbers. From these levels, despite the high O/S, its going to be a rocket ship. There is simply no other possibility. If Dan wanted to release the numbers as that stand right now...Rocket. However, he doesn't want to release the numbers right now.
If he were to release the numbers now he could kiss any chance of acquiring anything else in the foreseeable future goodbye. He can only acquire as it stands now because he is able to convince others that his business plan is going to succeed. He is going to acquire their business in exchange for worthless stock. Once he has completed his acquisitions he is going to release the numbers. After that the shares they hold are going to increase in mega-multiples. Dan and Co., those who sold their businesses, and the shareholders are going to be holding shares that are, relatively, worth a lot of money.
There will be an R/S on this thing someday, but it won't be until this thing is worth many many times more than it is now. Additionally, the price at the R/S will likely be many times lower than the highs the PPS had reached previously.
What's the scam alternative? Dan and Co. poured their blood sweat and tears into acquiring High Angle and the television stations. Who knows how much of their personal money they had to put into this. Signed off on their personal assets? Quite likely. Once they owned these modest entities what did they decide to do? Well, they decided to take over a shell and sign over THEIR title in exchange for this shell. After this they decided they were going to sell as many of these near worthless shares as they could into the market in order to make....what? Would it cover their original investment to the companies which they used to own? If they did manage to profit off of this would it be enough profit to absolutely destroy their reputations? To risk criminal sanction? To be ostracized from their communities where they are currently very well regarded?
Sorry JT, it just doesn't make sense. Anything can happen in this game, no doubt about that. However, all of the indicators on this one seem to be pointing to a very big return for those of us buying at these levels. I'm willing to risk losing everything I've put into this in order to reap the potential reward it has to offer.
Dan has indicated that there are still at least a couple of more acquisitions to go here. IMO we will know when the financials are close at hand. The PPS will begin to move just before this happens. One of these days the .0003s are going to start printing, they will disappear very quickly. When that happens the 1s and 2s will be gone forever. At these levels, thats a BIG deal. The difference between getting in at .0001 or trying to get in at 4 or 5 or 6...monumental. I'm in, and waiting, and if it pans out as I expect it will, I will be VERY happy. If not.....c'est la vie.
