This newsletter contains feelings of many that attended the UCAD/CMKX
Appreciation Party.
Recap of Events Leading up to the Party
Last week it was obvious USCA was caught off guard when the SEC
announced the temporary suspension of trading for 10 days, asking
numerous questions. "The Commission temporarily suspended trading in
the securities of U.S. Canadian Minerals because of questions that
have been raised about the accuracy of publicly disseminated
information concerning, among other things, U.S. Canadian Minerals'
financing and mining activities and the value of U.S. Canadian
Minerals' purported assets."
Also it was obvious CMKX was not ready for Saskatchewan Financial
Services Commission to issue a cease trade order for respondents in
Canada accusing Urban Casavant, Melvin O'Neil and David DeSormeaus
trading in securities CMKI and CMKM "when they were not registered
pursuant to section 27 of the Act; 3. The Respondents traded in the
securities of CMKI and CMKM when no receipt had been issued pursuant
to section 58 of the Act with respect to those securities;"
I have held the position that a naked short exists on CMKX that is
large. Did the above two actions happen by accident three days
before 2000 plus CMKX/USCA shareholders were to gather for one of the
largest company appreciation parties that has ever been held? I
believe all documentation supplied to the SEC and SFSC did not come
by and accidental manner.
Was it error of judgment or error of arrogance that allowed the
shorts to come in through the front door as easily as they did?
Obviously Roger Glenn was caught off guard by trading halt with USCA
and the SFSC actions. I would have assumed, with the short troubles,
the company attorney would have anticipated the attack from the
shorts.
In recent months many stocks have made runs and most have been
suspended for 10 day trading. One that comes to mind was BOCX
running to $3 plus from .50 area. BOCX was halted because of
something sent out by someone other then the company. This type if
action breaks momentum and the shorts know just how to alert the SEC
stopping trading so they can get onside with the stock to limit their
losses. USCA has been moving higher and higher on good news and
recently had a 3 for 1 forward split which makes it a target of any
entity short. Also USCA is a restricted stock dividend to CMKX
shareholders. Because of this dividend shorts must go to USCA to buy
restricted shares to cover their USCA short going to CMKX
shareholders. The shorts have many good reasons to have a stock
suspended from trading when they have the stock increasing in price
and they are losing money. Yes it's all about money.
UCSA and CMKX Shareholders
Both companies have a combined shareholder base approximately 46,000
plus shareholders and growing. These are shareholders that aren't
getting shaken out of their stock positions by the moves of the
shorts. The shorts are throwing everything they have at the two
companies and attempting to scare shareholders into selling. It
doesn't look like the short has enough to stop shareholders from
standing behind both companies. The attendance at the party in Las
Vegas proved this out. There were approximately 1200 to 1500
attending the appreciation party.
In my opinion shareholders are stronger and their resolve is behind
both companies. I think the recent actions by the SEC and SFSC have
strengthened the shareholder and have shown them we have a problem
and it's not our company but the naked short selling.
I will admit the short won the battle that was raging but the WAR is
still ongoing and the next battle will soon begin. Many went to Las
Vegas knowing because of the SEC action we might not hear news from
either company but we went regardless. We went to Vegas to make a
statement that regardless what takes place we stand behind those
running the companies and stand behind our investment decision by not
allowing the short scaring us into selling.
Party Time
Many arrived throughout last week to Vegas. Some arrived early in the
week but most arrived Thursday and Friday. A large group formed
daily at Texas Station in the Cadillac Lounge. I think the group
that formed here had a great time meeting and sharing with each other
until wee hours of the morning.
The party went off very well with dancing and film shows. The
catering was great with as much as you wanted to eat with dishes like
prawns wrapped bacon and scallops wrapped in bacon. I give this part
of the party a high ten rating.
I know many have asked me my opinion of what took place during the
actual party. So hold on to your chair and relax and enjoy the rest
of the newsletter. You are about to read what I thought and what
many shareholders thought of the party.
I had a difficult time with a couple of events but overall the party
was fun while it lasted.
Who was that guy talking and addressing the audience If you
didn't know Ed Donauh you would have never guessed the guy with the
star on his vest was in any way related to the company. Many
expressed after the party they never did know who he was. I
questioned why he did not introduce himself and the rest of the crew
such as Urban Casavant, Randell Williams. This was why people came
from all over the world to see their leaders introduced. Shame on
them, to not be considerate enough to introduce themselves to
shareholders. We do understand and self imposed gag was put on all
not to say much because if they did it might create bigger troubles
when they finally meet with the SEC. I just think they could have
still introduced the main players in CMKC and USCA.
Mid way through the evening Ed gave away many envelopes and one
contained the Kia order for a local dealership. This was a great
event and the winner was a very nice young lady. The car couldn't
have went to a nicer young lady. Her husband ran up to the stage,
jumping five feet onto the stage like the height didn't exist.
Congrats to that young couple winning their new Kia.
What soon happened shocked everyone at the party. A statement was
made by Ed that went something like this, thank you everyone for
attending and I am going to turn the rest of the evening over to the
….(band, forget name) so enjoy yourselves. Wowww jaws dropped,
what's going on people were saying, is the speaking over…sure looked
like it. BUT one brave lady didn't like what she heard. The band
started playing and she calmly walked up on the stage taking the mic
from the lead singer then moving her hands and arms up and down
stopped the music. This lady was upset that Ed had made a statement
they were done with anything except music. They lady proceeded to
tell management she came from Canada and spent $3,000 dollars to hear
from her company. She said a little more then left the stage. No
offense to the company but she thought everything was over, so did I
along with many others that were leaving the ballroom.
Timing? Was the lady's timing off. Was this the place to say or do
what she did? This is a tough call but many expressed she was right
for doing what she did. Just about everyone was shocked that the band
was our entertainment for the rest of the evening, my entire table
included. I believe if she didn't say it when she did no opportunity
would have arisen to voice the concerns of many there. I give this
lady a thumbs up for her guts to address two companies officials and
1200 plus shareholders. This made a statement for all shareholders
that night. Shareholders want to know what is going on. This is our
right to know what is taking place.
Urban and his group were escorted out by their bodyguards at this
time. Urban did go meet with the lady, which was gracious of him to
do this. Nobody knows what was said but I am sure this bothered
Urban that she said what she said.
